designflow Subscription MEMBERSHIPs Agreement​​

This agreement outlines the terms and conditions for The Newton Agency’s subscription-based services. By subscribing to TNA’s services, you ("Client") agree to the following terms:

​

1. General Terms for All Subscriptions

​

Services Covered:​

• DesignFlow Membership: Monthly branding, graphic design, marketing, and advertising design services tailored to your ongoing business needs.

• Branding Packages: Comprehensive branding services delivered in clearly defined phases, including Brand Strategy and Brand Identity.

​

Payment and Billing:

• Subscriptions are billed monthly through Stripe.

• All payments are non-refundable, non-exchangeable, and non-transferable.

• Payments will be automatically billed unless canceled at least 1 day prior to the next billing cycle.

• Deliverables will only be provided if payments are current. Failure to pay will result in immediate suspension of services until payment issues are resolved.

Cancellation and Pausing:

• Cancellation:

  • Subscriptions can be canceled at any time. Services will continue until the end of the current billing period.

  • Trello boards will be deleted 48 hours after cancellation. Clients are responsible for downloading and saving all assets before cancellation.

  • Cancellation forfeits all rights to incomplete deliverables unless reactivated or separately invoiced. No refunds are issued.

• Pausing:

  • Paused subscriptions retain Trello boards and project queues for up to 60 days from the initial paused date. After this period, boards will be deleted.

  • Clients may reactivate subscriptions at any time to continue work.

2. DesignFlow Membership Terms 

A single request is defined as one deliverable (e.g., a sales deck, website page, product label, etc.) or one round of revisions on an existing deliverable.

​

Standard Membership ($2,599.00 USD/month):

• 1 (one) active design request at a time.

• Average 48-hour turnaround on standard requests.

• Unlimited revisions within scope.

• E-RM License (non-commercial use) for branding, marketing, and advertising graphics.

• Flexible pause or cancellation policy.

​

Premium Membership ($3,999.00 USD/month):

• 2 (two) active design requests at a time.

• Average 48-hour turnaround on standard requests.

• Unlimited revisions within scope.

• Commercial Licensing during active subscription. 

​

Corporate Pricing Structure:

For larger companies or enterprise clients, TNA offers a corporate pricing model reflecting the scope, licensing needs, and deliverable volume typically required. Following an initial trial period, corporate rates will automatically apply for clients operating as corporations, unless otherwise stated in writing.

• Corporate Standard Membership – $3,999.00 USD/month

• Corporate Premium Membership – $6,999.00 USD/month

 

Contracts are available for corporate clients seeking longer-term engagements with built-in savings:

​

• 3-month commitment – 5% discount

• 6-month commitment – 10% discount

• 12-month commitment – 20% discount

​

Commercial licensing is included during the active subscription period. Upon cancellation, the license reverts to E-RM (non-commercial) after six (6) months from the last subscribed month. 

 

TNA reserves the right to update these terms and conditions at any time. Updated versions will be posted on our website and apply immediately to all ongoing subscriptions.

3. Branding Packages

Brand Strategy Package:

• Deliverables:

  • 1 Brand Strategy Concept Deck (messaging pillars, tone of voice guidelines, audience insights, target audience, & brand style vision).

  • 1 Final Brand Strategy Manual.

Brand Identity Package:

• Deliverables:

  • 1 Logosuite (primary logo, secondary logo, brandmark, and up to 5 logo badge variations).

  • Color palette, typography family, and up to 5 branding graphics.

  • 1 Final Brand Identity Manual.

Brand Manual Bible:

​

When both the Brand Identity and Brand Strategy Packages are completed consecutively, a combined Brand Manual Bible is provided, including all strategy and visual identity guidelines in one comprehensive reference.

4. Licensing Terms

Commercial licensing is included during the active subscription period. Upon cancellation, the license reverts to E-RM (non-commercial) after six (6) months from the last subscribed month. Commercial licensing may be re-purchased for continued use, with the licensing fee determined based on the following factors:

• The commercial value of the assets.

• The scope of use (e.g., digital-only, print campaigns, merchandise, etc.).

• The size and revenue of the client’s business.

5. Generative AI Tools

• TNA integrates generative AI into its workflow. While deliverables involve significant human creativity, clients are responsible for ensuring compliance with applicable laws.

• While TNA leverages AI tools where appropriate to enhance creative workflows, all final deliverables are curated and guided by human designers. Clients are responsible for verifying all materials meet applicable regulatory and legal standards.

• TNA disclaims all liability for legal issues arising from the use of AI-generated content.

• Policies will evolve as copyright laws change.

6. Trello Management

• Clients must use Trello to manage requests, communications, files, links, completed forms, feedback, etc.

• Deliverables must be downloaded promptly. TNA is not responsible for missed deadlines caused by client delays.

7. Limitations of Liability​

• The Newton Agency's total liability for any claim arising from the subscription services is limited to the total fees paid by the Client during the active subscription term.

​

Force Majeure Clause:

• The Newton Agency (TNA) will not be held liable for any delays, interruptions, or failures to fulfill its obligations caused by circumstances beyond its reasonable control, including but not limited to natural disasters, acts of God, governmental actions, technological failures, cyberattacks, labor disputes, pandemics, or any other unforeseen events. In such cases, TNA reserves the right to adjust timelines or suspend services as necessary without liability.

8. Working Hours:

Turnaround Times:
TNA strives to maintain an average 48-hour turnaround time for revisions, adjustments, or updates to submitted requests. However, please note the following:

• The 48-hour turnaround applies specifically to smaller scopes of work, such as graphic revisions, minor adjustments, updates on progress, or initial concepts. Completed edits or finalized deliverables may require additional time depending on the complexity of the request.

• For branding clients and larger, more complex projects, turnaround times may exceed 48 hours to ensure quality and attention to detail. However, TNA is committed to providing consistent updates every 48 hours while the design process is ongoing.

• Turnaround times are contingent on timely responses from the Client. Delays in providing feedback, approvals, or required materials may impact the project timeline.

Social Media Management Services

These Terms of Service ("Agreement") govern the Social Media Management Services ("Services") provided by The Newton Agency ("TNA," "we," "us," or "our") to the subscribing client ("Client," "you," or "your"). By subscribing to Level 1 or Level 2 Social Media Management, you acknowledge that you have read, understood, and agree to be bound by these terms.

1. SERVICE OVERVIEW

TNA provides social media management services designed to maintain and grow your brand’s presence online. Both levels include custom content creation, graphic design, and professional copywriting tailored to your brand’s voice.

​

Level 1 - $1,000/month

For businesses needing minimal but consistent social media support to maintain brand presence.

• 3 post per week (graphic + caption)

• 3 story version per post

• Professional copywriting for each post

• Basic content strategy & scheduling

• Trello-based project management

• No engagement management (DMs, comments, ads not included)

Level 2 - $2,500/month

For businesses seeking high engagement, growth-focused social media management.

• Up to 5 posts per week (graphics + captions)

• Daily stories (custom versions for each post)

• Professional copywriting for all posts & stories

• Community engagement (DM responses, comment moderation)

• Ad creation & management (basic ad campaign setup & execution)

• Content strategy & scheduling

• Trello-based project management

2. SUBSCRIPTION & BILLING

• The subscription is billed monthly and renews automatically unless canceled before the next billing cycle.

• Payments are processed via Stripe. By subscribing, you authorize TNA to charge your selected payment method on a recurring basis.

3. CANCELLATION & REFUNDS

• You may cancel at any time before your next billing cycle to avoid renewal charges.

• Due to the nature of our work, no refunds will be issued once a billing cycle has started.

• If you wish to pause your subscription, contact us to discuss options.

4. CONTENT APPROVAL & REVISIONS

• All content is developed based on your brand guidelines and requests submitted via Trello.

• One revision per post is allowed. Additional revisions may incur an extra fee.

• Content is scheduled only after final approval from the client.

5. CLIENT RESPONSIBILITIES

• Provide timely feedback and necessary brand assets (logos, brand guidelines, existing visuals, etc.).

• Maintain access to your social media accounts for posting and analytics tracking.

• Ensure all information provided for copywriting (pricing, services, promotions) is accurate.

​

6. INTELLECTUAL PROPERTY & USAGE RIGHTS

• All content created by TNA remains the intellectual property of TNA until full payment for the respective month is received.

• Upon payment, the client is granted full usage rights for social media distribution.

• Reselling or repurposing content for commercial resale outside of social media requires prior written consent.

7. LIMITATION OF LIABILITY

• TNA is not responsible for platform-related issues (e.g., Instagram outages, account suspensions, or changes in algorithm affecting reach).

• While we strive for high engagement and visibility, results may vary and depend on factors beyond our control.

• TNA is not liable for any legal disputes related to client-provided materials or claims made in published content.

8. COMMUNICATION & WORKFLOW

• All project requests, approvals, and revisions must be handled through Trello.

• Clients are expected to review and approve content within 48 hours of submission.

• For urgent changes or additional support, clients may request a separate consultation call (additional fees may apply).

9. SERVICE MODIFICATIONS

TNA reserves the right to modify services, pricing, or terms at any time with prior notice to active subscribers.

10. SOCIAL MEDIA MANAGEMENT IS AN ADD-ON SERVICE

• TNA’s Social Media Management Services are only available to clients actively subscribed to our DesignFlow branding and content creation subscriptions.

• These services are not offered as a standalone package.

• This ensures branding and content remain cohesive across all platforms, avoiding aesthetic inconsistencies common with third-party social media managers.

Website Development

(Exclusive to WIX & WIX Studio Websites Developed by The Newton Agency – TNA) This agreement outlines the terms and conditions for The Newton Agency’s website design and development - based services. By subscribing to TNA’s services, you ("Client") agree to the following terms:

​

1. Website Development Requires a DesignFlow Subscription

• TNA only provides website design and development under an active DesignFlow subscription (Standard or Premium).

• There is no standalone website development service—clients must be subscribed to DesignFlow for ongoing design, branding, and content creation.

• Clients must remain subscribed throughout the website development process. If a subscription is paused or canceled, all website work will also pause.

2. Branding is Required Before Website Development

• TNA only designs websites for brands that have completed branding, including:

  • Brand Strategy (positioning, messaging, brand voice, tagline, mission statement, ethos).

  • Brand Identity (logos, typography, color palette, brand assets).

• If branding is not completed, clients must first go through branding development within DesignFlow before website work begins.

​

3. Scope of Website Development

• All websites are built exclusively on WIX or WIX Studio.

• Standard website development includes a 5-page build (Landing, About, Portfolio, Contact, and Inquiry Form).

• Website content (graphics, copywriting, custom imagery) is designed and provided within the DesignFlow subscription.

• Basic SEO setup is included (meta descriptions, alt text, keyword placement, and Google indexing).

• Additional pages can be requested, but this will extend the timeline accordingly:

Additional Pages & E-Commerce Development

• If additional pages beyond the standard 5-page website (Landing, About, Portfolio, Contact, and Inquiry Form) are needed, these can be designed within the DesignFlow subscription but will extend the overall project timeline.

• Shop Page & E-Commerce Setup: TNA can create a Shop page and integrate e-commerce functionality via WIX & WIX STUDIO. However, due to the time required for:

  • Uploading product images

  • Writing product descriptions & pricing

  • Setting up variations (sizes, colors, etc.)

  • Configuring payment & checkout page, and settings

  The timeline for website completion may be extended depending on the number of products and complexity of the setup. Clients must provide all product details, pricing, and inventory information in a timely manner to avoid delays.

• For larger e-commerce stores (10+ products), clients should expect additional time for inventory organization, optimization, and testing before launch.

4. Website Development Timeline

• Website design and development typically takes 2-3 months, depending on:

  • The complexity of the project.

  • The speed of client feedback and approvals.

  • The number of pages and revisions needed.

• Each page is designed and revised systematically, ensuring quality and consistency across all touchpoints.

5. Website Maintenance & Post-Launch Support

• Once the website is complete, TNA offers ongoing website maintenance & updates exclusively for active DesignFlow subscribers.

• Website maintenance includes:

  • Content updates (text, images, minor layout adjustments).

  • Product updates for e-commerce (if applicable).

  • SEO adjustments & ongoing optimization.

• If DesignFlow is paused or canceled, website maintenance and updates will also pause.

6. Additional Services (Email Marketing & Blog Management)

• If requested, TNA can also manage:

  • Email marketing campaigns (via WIX email marketing tools).

  • Blog posting & content management after the website is fully launched.

• These services are only available with an active DesignFlow subscription and website maintenance add-on.

7. Payment Terms

• Payment terms follow the same structure as the DesignFlow subscription—billed monthly via Stripe.

• There is no deposit required, as website design is part of the ongoing DesignFlow membership.

• If a client pauses or cancels their subscription, all website work halts immediately.

​

8. Client Responsibilities (Engagement & Participation Required)

• Clients must provide timely feedback, approvals, and participation throughout the website design process to keep the project on schedule.

• Clients are responsible for reviewing drafts, providing necessary assets, and communicating revisions within a reasonable timeframe. Delays in response will directly impact project timelines.

• Clients must maintain their own WIX hosting, domain, and premium plan subscriptions—TNA does not handle hosting payments or technical support related to WIX services.

• All content (text, images, videos) provided by the client must be legally owned, licensed, or approved for commercial use.

• If additional brand assets or materials are needed beyond what the client provides, they may be created within the DesignFlow subscription or sourced at an additional cost.

9. Limitation of Liability

• TNA is not responsible for WIX platform issues, including downtime, security breaches, system failures, or third-party plugin errors.

• The client is responsible for maintaining WIX account credentials and ensuring proper security for their website.

• The client is responsible for any additional fees related to:

  • Website templates, premium features, or custom plugins.

  • Font licensing and typography usage for the website.

  • Stock images, videos, or other third-party digital assets.

• If a subscription is paused or canceled, all website work halts immediately.

10. Agreement Acknowledgment

By proceeding with website development through TNA’s DesignFlow subscription, the client agrees to these Terms & Conditions.

Deposit Payments & Non-Refundable Policy

​

To secure your spot on our calendar, a non-refundable deposit is required. This deposit ensures your place in our schedule and will be applied toward your first month’s subscription or project balance.

• Deposit payments are non-refundable under any circumstances. This policy is in place due to the time commitment and scheduling required for each client.

• The remaining balance for your subscription or project must be paid before work begins.

• If you decide to delay your start date, your deposit will be held as a credit for up to 90 days from the date of payment. After this period, the deposit will expire, and a new deposit will be required to rebook services.

• If you choose to cancel your subscription before work begins, your deposit is forfeited and cannot be transferred or credited to future services.
